> A UCC lien is a public filing that claims your business assets as collateral. Learn how it works, what blanket liens mean, and how to get one removed.

A UCC lien is a public notice a lender files to claim your business assets as collateral until the debt is repaid. It is filed under the Uniform Commercial Code with your state, and any other lender who checks will see it, which is why an old lien can quietly block your next loan.

## Key facts
- **Also called:** UCC filing, UCC financing statement, blanket lien when it covers all assets
- **Where you will see it:** Term loans, lines of credit, equipment financing, cash advances, SBA loans
- **Why it matters:** It decides who gets paid first if you default, and it shows up on every future lender's search

## What is a UCC lien?

A UCC lien is a lender's public claim on specific business assets, or all of them, as security for a debt. The lender files a short financing statement with the secretary of state. Nothing is taken from you; the filing records that if you default, that lender has first right to those assets.

A specific lien names particular [collateral](https://businessloanbroker.ai/glossary/collateral/), like one truck. A blanket lien covers everything the business owns now and acquires later: equipment, inventory, receivables and cash. Most online lenders and cash advance providers file blanket liens, even on small amounts.

## How is a UCC lien used?

Here is why the order of filings matters.

- In January you take a $75,000 line of credit from an online lender. It files a blanket UCC lien on all business assets.
- In June you apply to a bank for a $200,000 equipment loan.
- The bank searches the state records, finds the January lien, and sees the online lender would be paid first from any asset sale.
- The bank declines, asks the first lender to subordinate, or requires you to pay off the line before closing.
Filings typically last five years. When you pay off the debt the lender should file a termination, and many do not unless you ask.

## What do lenders consider normal?

Almost every secured business loan comes with a UCC filing, so having one is normal. Having several is where problems start, because most banks want first position on the assets securing their loan, and a lender in second or third position typically charges more or declines.

Lenders also check that liens match real debt. A stale filing from a loan you paid off years ago is common and fixable, but you have to catch it, so pull your own state UCC search before you apply. Our guide on [why loans get denied](https://businessloanbroker.ai/guides/why-loans-get-denied/) lists stale liens as a frequent cause.

## What should you watch for?

Watch for a blanket lien on a small, short term product. A $20,000 cash advance with a lien on every asset can block a much larger bank loan months later; ask whether the lender will accept a specific lien instead.

Watch for liens that never get released: after you pay off any loan, ask the lender in writing to file a termination and confirm it in the state records. Watch for stacking too, since a second advance while the first lender holds a blanket lien often breaks the first contract. In Canada the same filings happen under provincial PPSA registries.

## Questions and answers
**Can I get a loan with an existing UCC lien?**

Often yes, if the lien matches a real debt you are paying as agreed. Lenders take second position, ask the first lender to subordinate, or pay off the first loan at closing. Get stale liens terminated first.

**How do I remove a UCC lien?**

Pay off the debt, then ask the lender in writing to file a UCC termination and confirm it in the public records. If the lender does not respond, most states let you file the termination yourself after a notice period.

**Does a UCC lien affect my personal credit?**

No. UCC filings are public business records, not personal credit entries. They do appear on business credit reports and in any lender's lien search, which is where they affect your ability to borrow.
