> What a personal guarantee on a business loan means, who has to sign one, unlimited versus limited guarantees, what happens on default, and how to limit it.

A personal guarantee makes you personally responsible for a business loan if the business cannot pay. Almost every business loan under $1 million requires one from every owner of 20% or more, including SBA loans, online loans and most cash advances, regardless of whether the business is an LLC or a corporation. This guide explains what you are agreeing to, the types of guarantee, what happens on default, and how to narrow one.

## Key facts
- **Who signs:** Typically every owner of 20% or more; the SBA requires it
- **Entity protection:** An LLC or corporation does not protect you from a guarantee you signed
- **Types:** Unlimited, limited, joint and several, and carve out guarantees
- **Spouses:** SBA lenders require a spouse to sign when combined ownership reaches 20%

## What does a personal guarantee actually mean?

It means that if the business defaults, the lender can pursue you personally for the balance: your savings, your investments, your share of real estate and, in most states, your future wages through a judgment. The limited liability of your LLC or corporation does not apply, because you have agreed in writing to stand behind the debt yourself.

Lenders require guarantees because small businesses can fail quickly and their assets are often worth little at liquidation. Before you sign, read it as a promise to pay the whole loan from your own pocket. The [glossary entry](https://businessloanbroker.ai/glossary/personal-guarantee/) has the short definition.

## Who has to sign one?

Most lenders require a guarantee from every person who owns 20% or more of the business. The SBA makes this a rule for its loans, and it also requires a guarantee from anyone with key management control regardless of ownership. Some lenders ask all owners of 10% or more, and cash advance companies typically require the principal owner to sign.

If you have partners, each of you signs, and most guarantees are joint and several, which means the lender can collect the full amount from any one of you. If your spouse owns part of the business and your combined stake reaches 20%, SBA lenders require your spouse to sign too. Loans to large established companies are the main exception.

## What is the difference between unlimited and limited guarantees?

An unlimited guarantee makes you responsible for the entire loan balance plus interest, fees and collection costs, with no ceiling. It is the default on most small business loans. A limited guarantee caps your exposure at a dollar amount, at a percentage equal to your ownership share, or for a period of time.

SBA rules allow limited guarantees only for owners under 20%, so most SBA guarantors sign unlimited ones. Banks will sometimes agree to a guarantee limited to your ownership percentage when there are several partners. Whatever the type, check whether the guarantee is continuing, which means it covers future loans from the same lender, not just this one.

## What happens if the business cannot pay?

The lender first works out the business: it may restructure, take the collateral, or sweep the business bank account if the agreement allows. If that does not clear the debt, the lender demands payment from the guarantors. If you do not pay, it sues, and a judgment lets it garnish wages, levy bank accounts and place liens on property, subject to state exemptions.

Many cash advance agreements include a confession of judgment, which lets the provider obtain a judgment without a trial; several states now restrict these. Talk to the lender early; lenders routinely agree to modified payments with owners who call before missing one. ## How can you limit a personal guarantee?

Ask. The most common negotiated changes are a cap at your ownership percentage when there are several owners, a dollar cap, a burn off after a period of clean payments, and excluding your primary residence from the lender's lien. Offering more business collateral or a larger down payment gives the lender a reason to agree, and a competing offer helps more than anything.

Watch for continuing guarantees that cover future debt. On commercial real estate loans, ask for a nonrecourse structure with a carve out guarantee, which makes you liable only for specific bad acts like fraud or unpaid taxes. ## Are there business loans without a personal guarantee?

A few, and they are not for new or small businesses. Established companies with several years of profits and strong business credit can sometimes borrow on the business alone, usually from a bank that already holds their deposits. Some factoring and [asset based facilities](https://businessloanbroker.ai/business-loans/asset-based-lending/) rely on the receivables rather than on you.

Everything else, including [unsecured business loans](https://businessloanbroker.ai/business-loans/unsecured-business-loans/), requires one; unsecured means no specific collateral, not no guarantee. Before you sign, check whether it is unlimited or capped, joint and several, continuing, and whether it includes a confession of judgment. | Type | Your exposure | Where it is common |
|---|---|---|
| Unlimited | The full balance plus interest and costs | Most small business loans, SBA loans, cash advances |
| Limited by amount or percentage | A dollar cap, or your ownership share of the balance | Negotiated bank loans; SBA for owners under 20% |
| Joint and several | Any guarantor can be pursued for the whole debt | Almost all loans with more than one guarantor |
| Continuing | Covers this loan and future loans from the same lender | Bank lines and relationships |
| Carve out | Only for specific bad acts such as fraud or unpaid taxes | Commercial real estate loans |
| Validity | Only for the truth of the receivables you submit | Factoring and asset based lending |

## Questions and answers
**Does an LLC protect me from a personal guarantee?**

No. An LLC or corporation protects you from business debts you did not personally guarantee, such as a supplier bill. Once you sign a personal guarantee you have agreed to be liable for that debt yourself, and the entity's limited liability does not apply to it.

**Does a personal guarantee show up on my credit report?**

Not when you sign it. Most business loans are not reported to the consumer credit bureaus unless you default. If the lender makes a demand on the guarantee and you do not pay, the collection and any judgment will appear on your personal credit.

**Can my spouse be liable if they did not sign?**

In community property states the lender may be able to reach community assets even if only one spouse signed, which is one reason lenders ask spouses to sign. In other states, assets held only in your spouse's name are generally protected.

**Can I get out of a personal guarantee?**

Only with the lender's written release, usually when the loan is repaid, refinanced, or assumed by a new owner who signs their own guarantee. Selling your shares does not release you. If you leave a business, make the release a condition of the sale and get it in writing.
